Welcome to SyntaxMap. These Terms of Service (“Terms”) are an agreement between you and Shenzhen Dashewan Technology Co., Ltd. (“we”, “us”) governing your use of the SyntaxMap website (syntaxmap.ai/global), browser extension, and related services (together, the “Service”).
By signing in to or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
These Terms apply to you if you are located outside mainland China. If you are located in mainland China, a separate Chinese-language agreement governs your use of the Service instead of these Terms.
1. Eligibility and accounts
- You must be at least 13 years old to use the Service. If you are under 18, you may use it only with the permission of a parent or legal guardian.
- You can sign in with an email sign-in code or with Google. An account is created the first time you sign in.
- You are responsible for keeping your email account, device tokens, and signed-in devices secure, and for all activity under your account. If you believe someone else is using your account, remove the affected devices and sessions under Settings → Account and contact us.
- Device tokens are for your own use on your own devices. Do not sell, lend, or share them.
2. The Service
- Through a browser extension, the Service uses AI to break down sentences on web pages in the languages it supports (currently English, Chinese, Japanese, French, Spanish, Korean, and German): it labels sentence components, shows the main clause, subordinate clauses, and modifiers, and explains the related grammar in the native language you choose. The website lets you manage your account, devices, usage, subscription, and settings.
- The Service offers a free plan and paid subscriptions. Usage limits and the number of devices you can connect are described on our pricing page.
- We continually improve the Service and may add, change, or remove features. We will give advance notice on the website or by email of changes that significantly affect you.
3. Subscriptions, automatic renewal, and cancellation
- Paid plans (Pro and Ultra) are sold as subscriptions billed monthly or yearly in US dollars. The price, billing period, and features shown on the pricing page and on the checkout page when you subscribe apply to your subscription.
- Automatic renewal. Your subscription starts when your first payment succeeds and then renews automatically at the end of each billing period, for the same billing period and at the price you agreed to, and your payment method is charged for each renewal until you cancel. After you subscribe, we send you an email confirming these terms and how to cancel, and you will receive an email reminder before each renewal.
- Cancellation. You can cancel at any time online: sign in to the website and choose “Cancel subscription” in Membership, or use the billing portal linked from Membership. Cancellation stops all future renewals. You keep your plan until the end of the billing period you have already paid for, after which your account returns to the free plan; your account and data are not affected. Except as described in our Refund Policy or required by law, we do not refund the unused part of a billing period.
- If a renewal payment fails, the payment is retried once; if it fails again, your subscription ends and your account returns to the free plan.
- Where available, you can switch between plans or billing periods in the billing portal. Upgrades take effect immediately and you are charged a prorated amount for the rest of the current billing period; downgrades take effect at the start of the next billing period.
- Subscriptions are sold to you by Waffo.com Limited (“Waffo”), which acts as our reseller and merchant of record and collects your payments. You pay on Waffo’s checkout page by card, Apple Pay, or Google Pay, and your purchase is also subject to Waffo’s Buyer Terms. Waffo appears as the merchant on your receipts and card statements. Waffo processes your payment details; we never receive or store them.
- Refunds are handled under our Refund Policy: within 7 days of any payment, including renewals, you can request a full refund of that payment if you have analyzed no more than 50 sentences since it. When the payment for your current billing period is refunded, your subscription is canceled and the plan’s benefits end right away. Any refund rights you have under applicable law are not affected.
- We may change subscription prices. We will email you at least 7 days before a new price applies to your subscription, and you can cancel before it takes effect. A price change never applies to a billing period you have already paid for.
- Invite reward tiers and how rewards are granted are described in Membership. We may change or end invite programs at any time, and rewards obtained through fake sign-ups or other abuse are void.
4. Acceptable use
You agree not to:
- use the Service for anything illegal, or to process unlawful or infringing content;
- access the Service through scripts, scrapers, or other automated means, or circumvent usage limits, device limits, or other technical restrictions;
- reverse engineer or decompile the extension or the Service, or try to access non-public APIs or source code, except where the law expressly permits it;
- sell or sublicense the Service, your account, or your device tokens, or use the Service to provide commercial services to others;
- use the Service’s output to build a competing product or to train AI models;
- interfere with or disrupt the Service, including by attacking our servers or distributing malicious code.
If you violate these Terms, we may warn you, limit features, or suspend or terminate your access, depending on the severity.
5. AI-generated output
- Sentence analyses are generated by AI models. We check that every label matches the original sentence word for word, but we cannot guarantee that the grammatical conclusions are accurate or complete.
- Analyses are for learning purposes only and are not professional advice. Use your own judgment, considering the context, and you are responsible for how you use the output.
- For ambiguous, incomplete, or context-dependent sentences, results may be uncertain or wrong.
6. Your content
- The sentences you select come from web pages you visit, and any rights in them belong to their owners. Make sure you are entitled to submit them for personal study, and do not submit text containing personal, trade-secret, or otherwise confidential information.
- To provide the Service, you grant us a worldwide, non-exclusive, royalty-free license to store, copy, and process the sentences you submit and the resulting analyses, including caching the analysis of a sentence and using it to respond to other users who submit the same sentence. Our Privacy Policy explains how we handle this content.
7. Our intellectual property
The Service, including its software, website, design, text, and trademarks, is owned by us or our licensors. We grant you a personal, non-transferable, non-exclusive, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or commercially exploit the Service without our written permission. You may save and use analyses for your own learning.
8. Third-party services
The Service relies on third parties, including DeepSeek for AI models, Google for sign-in, the Chrome Web Store, and Waffo for payments. Your use of those services is also subject to their terms. Outages at these providers may interrupt the Service; we will work to restore it as quickly as we can.
9. Suspension and termination
- We work to keep the Service available, but it may be interrupted by maintenance, upgrades, third-party outages, network problems, or events beyond our control. We will try to announce planned maintenance in advance.
- You may stop using the Service at any time, or delete your account under Settings → Account. If you have an active subscription, it is canceled before your account is deleted, so you will not be charged again. After deletion, your data is deleted as described in our Privacy Policy and cannot be recovered.
- We may suspend or terminate your access if you materially violate these Terms.
- Sections 5 through 7, 10 through 12, 14, and 15 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR NEEDS, BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANALYSES WILL BE ACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$50.
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Service.
13. Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page and update the effective date, and we will notify you in advance on the website or by email of material changes. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, stop using the Service, cancel your subscription, and delete your account.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to the personal jurisdiction of those courts. Before filing a claim, please contact us so we can try to resolve the dispute informally. If you are a consumer whose country of residence gives you rights that cannot be waived by contract, nothing in these Terms affects those rights.
15. General
- These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
- If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a provision is not a waiver of our right to do so later.
- You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- We may send you notices through the website or to the email address on your account.
